1. Campaign Overview

1.1 Campaign Name and Purpose

The ThermoDeg NFT Campaign (“ThermoDeg NFT”) aims to raise funds to complete the design, development, and installation of a reactor that processes plastic waste into synthetic gas, producing affordable energy with minimal or no CO2 emissions.

The Campaign supports the Issuer’s mission to mitigate plastic waste pollution globally while advancing sustainable energy solutions.

1.2 Legal Structure

The Issuer, ThermoDeg Corporation Limited, is a Hong Kong-based company founded in 2021 and serves as the sole sales agent for ThermoDeg reactors worldwide. The Issuer is part of the ThermoDeg group of companies, which includes:

  • ThermoDeg s.r.o. (Slovakia, founded 2016, IČO: 36 713 511), holder of the worldwide ThermoDeg patent, represented by Tamas Nemet, CEO.

  • ThermoDeg Corporation Kft (Hungary, founded 2017, Registration No.: 01-09-303328), technological developer and manufacturer of ThermoDeg reactors, represented by Dr. László Sipos, CEO.

  • ThermoDeg Hungary Kft (Hungary, founded 2021, Registration No.: 01-09-389942), project manager and builder of the first ThermoDeg reactor in Hungary.

1.3 NFT Mechanism

ThermoDeg utility NFTs are digital collectibles issued on the Binance Smart Chain (BEP20) blockchain. These NFTs serve as tokens of participation and support for the ThermoDeg reactor development project.

They do not represent shares, equity, securities, or ownership rights. Holders may receive certain discretionary benefits, such as:

  • Access to project reports

  • Early supporter recognition

  • Private dashboards

  • Voting on community decisions

  • Potential distributions from surplus project revenue

Participation should be viewed as support for a technological and environmental initiative, not as an investment.

2. NFT Purchase Terms

2.1 NFT Tiers

The Campaign offers three tiers of ThermoDeg utility NFTs:

  • Bronze NFT: $1,000

  • Silver NFT: $10,000

  • Gold NFT: $100,000

Participants may purchase any number of NFTs across these tiers, based on their level of commitment to the ThermoDeg mission. There is no limit to the number or type of NFTs an individual may purchase.

2.2 Payment Terms

  • Accepted Currencies: Payments must be made in USDT or USDC on the Binance Smart Chain or the Ethereum (ETH).

  • Wallet Address: Payments in USDT or USDC should be sent to the Issuer’s designated wallet address:

  • Binance Smart Chain BSC (BEP20) and Ethereum (ETH):

  • Conversion to EUR: The Issuer will convert USDT/USDC contributions into EUR progressively, in tranches aligned with project milestones, to minimize currency risk and ensure cost efficiency.

  • NFT Delivery: Purchased NFTs will be transferred to the participant’s private wallet immediately upon confirmation of payment. The Issuer has no control over NFTs after they are distributed.

2.3 No Refunds

All purchases are final. The Issuer does not offer refunds or cancellations once NFTs are purchased and transferred to the participant’s wallet.

3. Purpose and Use of Funds

3.1 Fundraising Goals

  • Target Amount: $10,000,000

  • Minimum Threshold: $6,000,000 (required to initiate the design and construction of the first reactor unit).

If the minimum threshold is not met, the Issuer reserves the right to cancel the Campaign and refund contributions, minus any applicable blockchain transaction fees.

3.2 Use of Funds

Funds will be used exclusively for:

  • Reactor fabrication and engineering

  • Site preparation and installation at Henkel’s manufacturing facility in Tata, Hungary.

  • Testing, emissions certification, and optimization.

  • Legal and administrative costs

  • Essential team salaries and technical consulting.

3.3 Prudent Capital Management

The Issuer commits to prudent capital management practices:

  • Funds will be segregated from unrelated business operations and used solely for the purposes outlined above.
  • A structured internal approval process will govern disbursements.
  • The financial controller, ThaigerVentures Corporate Services Limited (Level 7, The Wave, 4 Hing Yip Street, Kwun Tong, Kowloon, Hong Kong, represented by Mr. Calvin Craig), will monitor and approve all disbursements.
  • Funds will not be used for speculative trading, lending, or high-risk financial activities.
  • Contributors will receive regular updates on fund usage and project status via their member dashboard.

4. Participant Rights and Utility

4.1 Benefits for NFT Holders

NFT holders may be eligible for the following benefits, at the Issuer’s discretion:

  • Access to a private member dashboard with project updates, reports, and voting rights on major strategic decisions.

  • Early supporter recognition within the ThermoDeg community.

  • Potential loyalty bonuses from surplus project revenue at the Issuer’s discretion. These benefits are not guaranteed and depend on the project’s success.

4.2 No Ownership Rights

ThermoDeg utility NFTs do not confer ownership, equity, or shareholder status in the Issuer, its affiliates, or the ThermoDeg project. They are collectibles and tokens of participation, not financial instruments.

5. Referral System

5.1 Referral Bonuses

Participants may earn referral bonuses in USDT/USDC by inviting others to join the Campaign:

  • 15% of the amount committed by directly referred members (Level 1).

  • 10% of the amount committed by second-level referrals (Level 2), provided the participant has introduced at least two direct referrals.

  • 5% of the amount committed by third-level referrals (Level 3), provided the participant has introduced at least three direct referrals.

5.2 Payment of Referral Bonuses

Referral bonuses will be credited in real-time to the participant’s wallet, as recorded in their member profile, upon confirmation of the referred member’s purchase.

6. Profit Distribution Framework

6.1 Loyalty Bonuses

NFT holders may receive loyalty bonuses from surplus project revenue (fiat profits) generated from the sale of ThermoDeg reactors. These bonuses are not guaranteed and depend on:

  • The successful completion, installation, and operation of the first reactor for a minimum of three months.
  • The Issuer’s realization of profits from reactor sales.

6.2 Wallet Responsibility

Participants are responsible for maintaining control over their wallet and ensuring the accuracy of their registered wallet address. The Issuer is not liable for non-payment of bonuses due to lost, compromised, or incorrect wallet addresses caused by factors beyond the Issuer’s control (e.g., hacking, fraud, or user error).

7. Risk Disclosure

7.1 No Guaranteed Returns

ThermoDeg utility NFTs are not securities, investments, or financial instruments. There is no promise or guarantee of any returns, loyalty bonuses, or financial benefits.

Participation is a show of support for the ThermoDeg mission, and contributors should be prepared for the possibility of no financial return.

7.2 Risks

Participation in the Campaign involves significant risks, including but not limited to:

  • Technical Risks: Delays or failures in reactor design, development, or installation due to unforeseen technical challenges.

  • Operational Risks: Issues with site preparation, testing, or certification that may delay or prevent project completion.

  • Regulatory Risks: Changes in environmental, blockchain, or financial regulations that may impact the project or NFT distribution.

  • Business Risks: Failure to secure additional reactor sales beyond the Henkel agreement, or inability to achieve projected profitability.

  • Market Risks: Fluctuations in cryptocurrency values or currency exchange rates that may affect fund conversion.

  • Loss of Principal: Contributors may lose their entire contribution if the project does not succeed or if the minimum funding threshold is not met.

The Issuer is not responsible for partial or full loss of contributions due to these or other risks.

8. Warranties and Disclaimers

8.1 No Guarantee of Success

The Issuer does not guarantee the success, profitability, or timely completion of the reactor project. While the Issuer is committed to achieving the project milestones, external factors may impact outcomes.

8.2 No Ownership Rights

ThermoDeg utility NFTs do not confer legal ownership, shareholder status, or any proprietary interest in the Issuer, its affiliates, or the ThermoDeg project.

8.3 Limited Obligations

The Issuer’s obligations are limited to those explicitly stated in these Terms. No additional promises or warranties, express or implied, are made.

9. Project Roadmap and Timeline

9.1 Project Background

ThermoDeg has a proven history of innovation, having built and operated a plastic waste-to energy reactor in 2021. Although the first unit ceased operations due to unrelated legal and human factors, extensive testing validated its technical viability.

The current Campaign funds the design, licensing, and installation of a second reactor at Henkel’s manufacturing facility in Tata, Hungary.

9.2 Milestones

  • Months 1–2: Planning, licensing, and capacity reservation.

  • Month 3: Ordering of reactor, gas engine, and grinder.

  • Months 4–6: Hall construction at Henkel’s Tata site.

  • Months 7–9: Installation of reactor, gas engine, and grinder.

  • Months 10–12:Trial run and licensing.

  • Month 13: Start of production.

  • Months 13–18: Normal production at Henkel Tata.

9.3 Future Projections

Following six months of successful operation, the Issuer anticipates selling:

  • 2027: 5–15 reactors.

  • 2028: 100–200 reactors.

  • From 2029: 400–3,000 reactors annually.

10. Management and Reporting

10.1 Updates

The Issuer will provide quarterly updates (or more frequently for major milestones) via the member dashboard. Updates will include project progress, fund usage, and summary-level f inancial disclosures.

10.2 Voting Rights

 NFT holders may vote on major strategic decisions through their dashboard, as determined by the Issuer.

10.3 Transparency

 The Issuer will disclose the total number of NFTs sold and provide financial summaries at the t ime of any profit distribution, detailing the basis for calculations.

11. Redemption / Exit Options

11.1 Resale Restrictions

NFTs may not be resold until the minimum funding threshold of $6,000,000 is reached. After this threshold, NFTs may be offered for sale to other registered members or the general public.

The current NFT holder (not necessarily the original purchaser) is entitled to any loyalty bonuses.

11.2 No Buyback Guarantee

The Issuer does not guarantee to buy back NFTs but may, at its discretion, offer to repurchase NFTs at a mutually agreed price.

11.3 Priority Access

Current NFT holders will have priority access to participate in the Issuer’s future crowdfunding campaigns, if any.

12. Dispute Resolution and Jurisdiction

12.1 Governing Law

These Terms are governed by the laws of Hong Kong, without regard to its conflict of law principles.

12.2 Dispute Resolution

Any disputes arising from or related to these Terms or the Campaign shall be resolved through binding arbitration in Hong Kong, conducted in accordance with the rules of the Hong Kong International Arbitration Centre (HKIAC).

  • The arbitration shall be conducted in English by a single arbitrator appointed by mutual agreement or, failing agreement, by the HKIAC.
  • The arbitrator’s decision shall be final and binding.
  • For claims under $50,000, parties may opt for resolution through a Hong Kong small claims tribunal.

12.3 Language

The official language of these Terms and any related agreements or disputes is English.

13. Privacy and Data Use (also see our Privacy Policy)

13.1 Data Collected

The Issuer collects the following personal data from participants:

  • Wallet address (for NFT delivery and bonus distributions).

  • Email address (for project updates and communications).

  • Other data provided during registration (e.g., name, contact details).

13.2 Purpose

Personal data is used solely for:

  • Processing NFT purchases and distributions.
  • Providing project updates and access to the member dashboard.
  • Distributing loyalty bonuses, if any.
  • Complying with legal and regulatory obligations.

13.3 GDPR Compliance

The Issuer complies with the General Data Protection Regulation (GDPR) for participants in the European Economic Area (EEA). Participants have the right to:

  • Access, rectify, or erase their personal data.
  • Restrict or object to data processing.
  • Request data portability.
  • Lodge a complaint with a supervisory authority.

13.4 Data Sharing

Personal data will not be shared with third parties, except as required to process payments, deliver NFTs, or comply with legal obligations. Data may be shared with ThaigerVentures Corporate Services Limited for financial oversight purposes.

13.5 Security

The Issuer employs industry-standard security measures to protect personal data but cannot guarantee absolute security due to the nature of online systems.

14. Acceptance and Binding Agreement

14.1 Digital Acceptance

By clicking “I Accept” on the Campaign’s landing page, participants provide a digital signature, confirming their agreement to these Terms. This constitutes a legally binding contract.

14.2 NFT Minting and Delivery

The minting and delivery of NFTs to the participant’s wallet confirm their participation in the Campaign.

14.3 Amendments

The Issuer reserves the right to amend these Terms at any time. Participants will be notified of material changes via their member dashboard or email. Continued participation constitutes acceptance of the amended Terms.
